By using Guerilla Guides.com's platform, you are agreeing to the following terms and conditions ("Terms of Service").
These Terms apply to our Guerilla Guides "Members" (registered account holders) as well as our Guerilla Guides "Authors" (account holders who are also authors of one or more "GRIP/Gguide").
If you're signing up to be a Member, these terms will, by design, cover more than you might need. Then if you want to upgrade your status to a Guerilla Guides Author (aside: just build a GRIP/Gguide to do so!), these terms will continue to apply to you and any content that you put into your GRIP/Gguide.
We’re in this together—the more you give, the more you get—and to protect our Authors against spammers or other abuse, we’ve laid out very clear guidelines. Our goal is to treat every Member and Author fairly and with respect.
2. THE BIG PICTURE: Description of Service
Guerilla Guides makes available a collection of resources to registered account holders ("Members"), including hosting services (the “Service”) for our (“Authors”) who wish to create their own customized “GRIP/Gguides” that we will host. A surfer can explore GRIP/Gguides on topics of interest, allowing him or her to quickly find thoughtful, personal, and handbuilt collections of links to relevant online content.
In order to use the Service, even in any closed or open beta stages, including new services or functionality that may be made available by Guerilla Guides from time to time, Members and Author must abide by these Terms of Service. If a user fails to follow these rules, Guerilla Guides can discontinue their ability to use the Service as an Author. In addition, we have the right to delete your GRIP/Gguides without notice if we see evidence of abuse or other inappropriate activity. (See more about this in Item 12).
Here’s what you need to do to get started:
- Connect. Guerilla Guides is a Web site that works on Macs, PCs, and in all Internet browsers. We recommend Firefox for best viewing of the site.
- Register as a Member or a Author. In order to use the Service, you need to have a valid Member ID or a Author ID. If any information that you provide during registration is not accurate (or if Guerilla Guides has reasonable grounds to believe so), then as detailed further below under “Termination,” Guerilla Guides has the right to suspend or terminate your account and refuse to grant you further access to the Service. You will receive a registration confirmation email at the email account you provide us. Your Guerilla Guides account will not be activated until you respond to the email by clicking on the link enclosed. Please check your spam filters if you're not hearing from us!
- When completing the Author registration process, you will select a unique Author account name and password. Guerilla Guides only permits adults (18 years and over) to contribute as Authors. In addition, if you live in a place where your pariticipation as a Author is regulated or prohibited, then you are unable to participate.
You will be responsible for any activities that take place under your name and password, or that take place on or via any of your GRIP/Gguides. If you become aware of any unauthorized use of your password or account, or any other breach of security, please cancel your GRIP/Gguides immediately. It is up to you to maintain the confidentiality of your password and account. Guerilla Guides is not liable for any loss or damage arising from your failure to comply with the provisions of these Terms.
You also understand and agree that as part of the Service, you may receive certain communications from Guerilla Guides, such as account creation confirmations, royalty statements, service announcements, administrative messages and any of the opt-in Guerilla Guides newsletters. You will be able to opt out of most of these communications, but not others (such as ones concerning your account and your royalties). If you don’t want to receive ANY messages from us, you will need to cancel your account.
And, of course, Guerilla Guides promises to never rent or sell your personal information, and you will never receive email from a third party as a result of your relationship with us, unless you explicity opt in to do so.
3. THE RULES
- You are solely responsible for your conduct and any data, text, information, screen names, links, graphics, photos, profiles, audio and video clips, and links (“Content”) that you submit, post and display on your GRIP/Gguide or via the Service;
- You must not abuse, harass, threaten or intimidate other Authors or others who use the Service, nor may you upload, post or otherwise include any Content that is defamatory, libelous, tortuous, vulgar, obscene, invasive of privacy, racially or ethnically objectionable, hateful, promotes or provides instructional information about illegal activities, or promotes any act of cruelty to animals or certain vegetables
- You must not impersonate another Author or any official of Guerilla Guides.
- You cannot create GRIP/Gguides or use the Service for any illegal or unauthorized purpose, or to promote or make solicitations for any illegal or unauthorized activity.
- You cannot use the Service to distribute, share or solicit Content belonging to third parties without proper authorization from the owner(s) of that Content. You must respect the proprietary and intellectual property rights of others (including trademark, copyright and trade secrecy) in creating your GRIP/Gguide.
- You must not, in the use of Guerilla Guides, violate any Federal, state or local laws. If you are creating a GRIP/Gguide outside of the United States, you must comply with all local laws regarding online conduct and acceptable content
- You cannot modify, adapt or hack the Guerilla Guides website or any GRIP/Gguide that is not yours.
- You cannot create or submit spam to any Authors or registered users of Guerilla Guides.
- You cannot transmit or link to any worms or viruses or any code of a destructive nature.
- You cannot transmit content in breach of a confidentiality or fiduciary obligation you may have.
- You cannot attempt to automatically redirect surfers to other domains, mislead surfers of the origins of the Content contained in your GRIP/Gguide, or use your GRIP/Gguide as storage for remote loading or to a website outside of the Guerilla Guides website.
- You may not develop restricted or password-only GRIP/Gguides, or hidden pages or images (those not linked to from another accessible page).
- You cannot interfere with or disrupt the Service, or any servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service.
- You cannot collect or store personal data about other users, except that you may encourage surfers to contact you and you may, in return, contact them back.
4. THE CONTENT: WHO OWNS IT?
As a Author, you will be able to incorporate various forms of Content into your GRIP/Gguides. Guerilla Guides does not claim ownership of the Content you place on your GRIP/Gguide. The Content will be owned by you or a third party from whom you got permission to post the content. By placing Content on your GRIP/Gguide, however, you grant Guerilla Guides a worldwide, royalty-free, and non-exclusive license, for as long as your GRIP/Gguide is displayed on Guerilla Guides, to reproduce, display, modify, adapt and publish the Content solely for the purpose of displaying, distributing and promoting your GRIP/Gguide on Guerilla Guides. Guerilla Guides may preserve and store Content, and may also disclose Content if required to do so by law or if Guerilla Guides believes in good faith that such preservation or disclosure is reasonably necessary to: (a) comply with legal process (e.g., subpoenas); (b) enforce these Terms of Service; (c) respond to claims that any Content violates the rights of third parties; or (d) protect the rights, property, or personal safety of Guerilla Guides, its users and the public.
The Author, and not Guerilla Guides, will be fully responsible for all Content that is uploaded, posted, transmitted or otherwise made available by the Author on his or her GRIP/Gguide. Guerilla Guides cannot guarantee the accuracy, integrity or quality of such Content. Guerilla Guides does not pre-screen Content, but will have the right (but not the obligation) in its sole discretion to refuse or remove any Content in a GRIP/Gguide for any reason, including Content that may violate these Terms, or that is otherwise objectionable. Guerilla Guides also cannot take responsibility for anything that your surfers may do in reliance on the Content you post in your GRIP/Gguide. Bottom line: put it on your GRIP/Gguide, you're responsible.
5. WHAT ABOUT LINKS?
Your GRIP/Gguide may (and should!) include links to other sites or resources. Guerilla Guides has no control over those sites and resources, and therefore you acknowledge and agree that Guerilla Guides is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources, or for any damages caused or alleged to be caused by or in relation to such Content, goods or services.
Guerilla Guides provides pre-built modules that make it easy for you to find and add links to various sites. However, just because we provide these modules does not mean we are responsible for their accuracy. The Author is still responsible for what links he or she elects to put in his or her GRIP/Gguide.
6. ADDITIONAL SOFTWARE AND TOOLS
Guerilla Guides may at any point make additional software and tools available to Authors in connection with the Service. Authors who download or access such additional software may have to agree to additional terms and conditions before using such software.
7. GUERILLA GUIDES SERVICES
Here’s the fun stuff: Guerilla Guides offers programs that may enable Authors to earn revenue thru sales of author generated content and affiliate sales.
We divide the revenue we actually receive as follows:
- For Gguide ebooks we give authors 70% of the profit at the selling price
- For Grips we give Authors 50%
These percentages may change from time to time, but not before all Authors are notified by email.

8. PROGRAM PARTICIPATION
As a Member and a Author, you agree to maintain compliance with the policies and eligibility requirements imposed by Guerilla Guides, as well as those that may be imposed by third parties with whom you may engage in the course of your participation in CO-OP Services.
Big Changes: It’s entirely possible that things will occur that will make it, in Guerilla Guides’s sole discretion, impossible to maintain the structure described in this document. We may, for example, have to change the percentages. We agree that we will not make any financial changes retroactively. Any changes will be for future payments. If we do need to change any significant terms, we will notify you by email no fewer than two weeks before any change occurs. At that point, you will have the option of removing your GRIP/Gguide from the Service if you choose to stop working with the CO-OP under the new structure.
Your Reported Earnings. When you register at Guerilla Guides we will establish an earnings account for you (a “Guerilla Guides Earnings Account”). Your Guerilla Guides Earnings Account will hold any revenues generated from the sale of your content. Any Earnings in your Guerilla Guides Earnings Account will not be held in an interest-bearing account and will not bear interest. Guerilla Guides may adjust, both up or down, any reported Earnings balances as may be necessary or required to reflect payment adjustments implemented, failures to pay, or other reasons caused, by third parties. The reports of Earnings set forth in your Guerilla Guides Earnings Account will include such information as will be determined by Guerilla Guides from time to time in its sole discretion, and will be conclusive, final and binding on you.
You will be able to use, or receive, the Earnings reported in your Guerilla Guides Earnings Account in the manner (or manners) that Guerilla Guides may set forth from time to time.
Guerilla Guides will send payment to you within approximately thirty (30) days after the end of each calendar quarter if your earned balance is $15 or more. If you change your payment designation following your initial registration, then the change will take effect with respect to the calendar quarter in which you change your designation, and therefore the first payment reflecting your new designation will be sent within approximately thirty (30) days after the end of that calendar quarter. In the event that your use Gguides.com Services has terminated, Guerilla Guides will pay your earned balance (net of offset for fees and other deductions) to you within approximately ninety (90) days after the end of the calendar quarter in which such termination occurred.
Forfeiture of Earnings. There are several ways in which you may lose your ability to access, use, or withdraw your reported Earnings from your Guerilla Guides Earnings Account. These include, without limitation, the following:
* If you in any way violate or otherwise breach these Terms of Service;
* If you engage in any activity intended to, or the result of which could or would, defraud Guerilla Guides or any third party, including, without limitation, with respect to any advertising activity arising on your GRIP/Gguide, taking any action (or authorizing any third party to take any action) to inflate or otherwise manipulate traffic or click-through counts from your GRIP/Gguide to participating advertisers or merchants, or otherwise attempting, in Guerilla Guides’s good faith judgment, to simulate artificially the behavior or activity of an individual live Web user.
By using the the site you acknowledge and agree that Guerilla Guides will not be responsible for, and will not be obligated in any manner to repay you for, any lost earnings.
